I have done a design for a proxy site, i can see loads of empty space.
Here is first version i did.
Here is my Second version.

Any suggestions please.

I like both. I would go with either one if I was the one you were making this for. But I think you should move the content box up some. Because that empty space is really ugly. Or stick an ad there. And bring the footer up some too, because that much empty space around the content is ugly.

I see, yeh to much empty space, but most Proxy sites are empty haha

I also liked the first one when I first compared the two, but after staring at them for a minute, I decided the second one was a little better. I just like the address bar splitting the content box like it does. Doesn't do that in the first one. But either way they are both pretty good.
